    These terms govern your use of our website, client portal, filing services, and training products.

    These Terms of Service ("Terms") are an agreement between you and Foundation Freight Texas LLC, doing business as Foundation Freight ("Foundation Freight," "we," "us," or "our"). By accessing or using foundationfreight.com, our client portal, or any of our services or products (the "Services"), you agree to these Terms.

    1. Our Services

    Foundation Freight provides freight-authority setup and compliance assistance (such as USDOT/MC authority, BOC-3, and UCR filings), related business-formation support, and educational products including our freight broker training course. Specific deliverables, timelines, and prices are described at the point of purchase.

    We are not a law firm and do not provide legal advice. We prepare and submit filings based on the information you provide. Government filing fees, if any, are separate from our service fees, and government agencies control the timing and approval of filings.

    2. Accounts

    To use certain Services you must create an account. You are responsible for providing accurate information, keeping your login credentials confidential, and for all activity under your account. You must be at least 18 years old and authorized to act for any business you represent.

    The accuracy of any filing depends on the information you provide. You agree to provide true, current, and complete information and to keep it updated.

    3. Payment and Refunds

    Fees are due at the time of purchase. Our third-party payment processor handles the charge.

    Our services involve work performed on your behalf and access to digital products. So fees are generally non-refundable once work has begun or digital content has been accessed, except as required by law or as expressly stated at purchase. Government fees are non-refundable once submitted.

    4. Electronic Communications and SMS

    By creating an account or requesting services, you consent to receive electronic communications from us, including email and, where you opt in, text messages (SMS). Our text messaging practices, including opt-in, message types, frequency, and how to opt out (reply STOP), are described in our Privacy Policy. Consent to SMS is not a condition of purchase.

    5. Acceptable Use

    You agree not to:

    • Use the Services for any unlawful, fraudulent, or misleading purpose;
    • Provide false information or impersonate any person or entity;
    • Interfere with, disrupt, or attempt to gain unauthorized access to the Services; or
    • Copy, resell, or redistribute our training content or materials without our written permission.

    6. Intellectual Property

    The Services, including our website, portal, course content, videos, templates, and materials, are owned by Foundation Freight and protected by intellectual property laws. When you purchase a training product, we grant you a limited, personal, non-transferable license to access and use it for your own use. You may not share, resell, or redistribute it.

    7. Disclaimers

    The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that filings will be approved, that the Services will be uninterrupted or error-free, or that any particular business outcome will result from using the Services.

    8. Limitation of Liability

    To the fullest extent permitted by law, Foundation Freight will not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid us for the specific Service giving rise to the claim.

    9. Indemnification

    You agree to indemnify and hold harmless Foundation Freight from any claims, losses, or expenses arising out of your use of the Services, your violation of these Terms, or the information you provide to us.

    10. Governing Law

    These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Texas.

    11. Changes to These Terms

    We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after an update means you accept the revised Terms.
